STANDARD CONFIDENTIALITY AGREEMENT |

| The Parties possess confidential information relating to product development, which may include Logistics technical information, commercial information, including patents, copyright and trade secrets, drawings, images, wiring diagrams, schematics, recipes, prototype models, RND, Biometrics DNA, specifications and intellectual property (“in perpetuity Confidential Information”). The Parties wish to explore the feasibility of developing Faculty of Science and Engineering specialist CPSL principle James Henderson Mitchell (MJ) Holistic Ambassador, National insurance number NP295782A, desire to disclose to each other certain parts of such Confidential Information in order to pursue the Project/s. Each Party is willing to disclose and to receive such Confidential Information for this limited purpose, but only on the terms set forth below. PARTY A and PARTY B are willing to accept these terms. Accordingly, the Parties agree as follows: |
| 1) As used herein, “Confidential Information” includes all information Logistics including patents, copyright and trade secrets, drawings, images, Schematic’s, biometrics, diagrams, designs, DNA, Physics equations, specifications, samples transferred between the Parties, in written, electronic, and oral or any other form whenever transferred. |
| 2) Each Party shall keep all Secrets Elements or source Confidential Information supplied to it confidential for a continuous, uninterrupted obligation that will last in perpetuity from the Date of disclosure except for information and materials which: |
| i) At the time of disclosure, are in the public domain under the written request of party A |
| ii) After disclosure, enter the public domain, except as a result of a breach of this Agreement or any other obligation of confidentiality from party A; |
| iii) Are provided by a third party, except where the third party is subject to a confidentiality obligation to maintain such information and materials in confidence. |
| 3) The Receiving Party B shall use the same degree of care it uses with its proprietary information to hold the Confidential Information confidential in perpetuity. The Confidential Information is esteemed secret in perpetuity and will not enter the public domain, except because of a breach of this Agreement or any other obligation of confidentiality. In no event during the period of confidentiality shall the Receiving Party disclose any Confidential Information of the Disclosing Party to any third party at any time, whether in or out of the public domain. This confidential information is deemed in perpetuity top-secret. |
| 4) The Receiving Company/corporation and all staff members thereof Party shall use the received Confidential Information solely to conduct the Project development. Any additional action will be deemed the trade secret erudition copyrighted property of party A. |
| 5) Party b acknowledges that any intellectual property arising from the project shall be owned solely by party a. Party b shall, on request from party a, take all reasonable measures and provide full assistance to party a, at party’s cost, to ensure any such intellectual property vests or is transferred to party a. |
| 6) This instrument constitutes the entire Agreement between the parties, and it supersedes and cancels all prior negotiations, understandings and agreements between the parties, whether oral or written, regarding the subject matter of this Agreement. This Agreement can be amended only by a written document signed by both parties. 7) Code words that are developed should always be used to keep the project secret. 8) With protective control that ascertains the existence of the program is not acknowledged, affirmed or made known to any person not sanctioned for such information. All technical, operational, logistical, and logistical aspects are handled in an unknown alleged manner. This Agreement shall be governed and construed by The International Court of Justice (ICJ). Any breach of this Agreement must be communicated back to party A with immediate effect |
